Terms and Conditions of Use for the VanLife Connect Platform

These Terms & Conditions form a binding legal agreement between you (“User”) and VanLife Connect Pty Ltd (“VLC”, “we”, “us”). VLC operates a mobile-first peer-to-peer services marketplace connecting caravan and RV travellers (“Travellers”) with independent service providers (“Providers”).
By tapping “I agree”, accessing or using the VLC Platform, you accept these Terms, any policies referenced in them and our Privacy Policy.

1. Definitions
“Booking” means a confirmed agreement formed through the VLC Platform between a Traveller and a Provider for the supply of services.
“Business Day” means a day other than Saturday, Sunday or a public holiday in Western Australia.
“Dispute” means any disagreement, claim or complaint relating to a Booking, User conduct, or use of the VLC Platform.
“Force Majeure” means any event beyond a party’s reasonable control, including natural disasters, government action, industrial action, telecommunications or network failures, power outages, or third-party service disruptions.
“Listing” means a service description, offer or advertisement published by a Provider on the VLC Platform.
“Material Change” means a substantive change to these Terms that materially affects User rights or obligations.
“Provider” means a User who offers or supplies services through the VLC Platform.
“Traveller” means a User who books or receives services through the VLC Platform.
“VLC Platform” means all mobile applications, websites, software, systems, APIs and related services operated by VanLife Connect Pty Ltd.
2. ACCEPTANCE OF TERMS AND CLICKWRAP
You accept these Terms when you:
(a) tap “I Agree” (or similar confirmation) during registration, onboarding, or a required update process; or
(b) continue to access or use the VLC Platform after being given reasonable notice of an update to these Terms.
By accepting these Terms, you represent and warrant that:
- you are at least 18 years old; and
- you have the legal capacity to enter into a binding agreement.
If you do not agree to these Terms, you must not use the VLC Platform.
3. PLATFORM SCOPE AND STATUS
3.1 Technology Intermediary
VLC operates a digital marketplace that facilitates Listings, Bookings, messaging and payment processing between Users.
VLC does not provide, supervise, control or direct the services supplied by Providers and does not act as a contractor or principal in respect of those services.
3.2 Not a Party to User Contracts
Except for acting as limited payment agent under clause 7, VLC is not a party to any contract formed between a Traveller and a Provider.
All rights and obligations relating to the supply of services exist solely between the Traveller and the Provider.
3.3 Fair Work Act Acknowledgement
VLC acknowledges its status as a digital labour platform operator under the Fair Work Act 2009 (Cth), where applicable.
Nothing in these Terms creates an employment, agency, partnership or joint venture relationship between VLC and any Provider.
VLC provides a digital platform that facilitates Listings, Bookings, payments, messaging and related interactions. VLC does not supply or supervise the services listed by Providers.
4. ACCOUNTS AND ELIGIBILITY
Users must:
- provide accurate, current and complete information;
- maintain the security of their login credentials; and
- promptly update account details where information changes.
Users are responsible for all activity conducted through their account, unless unauthorised use results from VLC’s failure to take reasonable security measures.
Accounts must not be shared, transferred, or assigned without VLC’s consent.
VLC may suspend, restrict, or terminate an account where it reasonably considers that:
- these Terms have been breached;
- fraud, misuse or unlawful conduct has occurred;
- safety risks arise; or
- suspension is required to comply with law.
Where a Provider qualifies as an “employee-like worker”, deactivation will comply with applicable statutory requirements, including the Digital Labour Platform Deactivation Code.
5. LISTINGS AND BOOKINGS
5.1 Provider Obligations
Providers must ensure that all Listings are accurate, complete, lawful, and not misleading.
Providers are solely responsible for:
- setting their own pricing, availability, scope and service terms;
- ensuring they hold any required licences or approvals; and
- complying with all applicable laws relating to the services they supply.
VLC does not review or approve Listings beyond basic platform compliance.
5.2 Formation of a Booking
A Booking is formed when:
(a) a Provider accepts a Traveller request through the VLC Platform; or
(b) both parties confirm an agreed quote through the in-app confirmation process.
A Booking is binding once formed and is subject to these Terms and Schedule 2.
5.3 On-Platform Transactions and Fee Protection
Users must not:
- request, offer or accept payment outside the VLC Platform for services initiated through the Platform; or
- attempt to avoid Platform Fees by arranging ongoing or repeat services off-platform.
Where VLC reasonably determines that a Booking has been diverted to avoid Platform Fees, VLC may:
- recover the applicable commission;
- suspend or terminate accounts; and
- take any other action permitted under these Terms.
5.4 Cancellations and Refunds
Cancellations, refunds and no-show rules are governed by Schedule 2.
6. PRICING AND FEES
Providers agree to pay VLC a commission of 10 percent of the Total Fees for each completed Booking.
Commission is deducted automatically from Provider payouts through Stripe Connect.
Stripe processing fees are separate from Platform Fees and are charged per transaction in accordance with Stripe’s pricing and rounding rules, which are determined solely by Stripe and are outside VLC’s control.
VLC will issue a tax invoice for commission amounts charged.
Providers are responsible for determining and complying with their own GST obligations. VLC is GST-registered and includes GST within its commission where applicable.
VLC may vary its Platform Fees, including commission rates, on 30 days’ prior written notice delivered by email and/or in-app notification. The 30-day notice requirement applies to material increases in commission rates or other core financial terms. If a Provider does not agree to a notified material fee change, the Provider may cease using the Platform before the effective date of the change. Continued use of the Platform after the effective date constitutes acceptance of the revised fees.
Nothing in this clause limits VLC’s ability to make changes required by applicable law or regulatory direction.
7. PAYMENTS AND BOOKING PROCESS
Payments are processed through Stripe Connect.
VLC acts solely as a limited payment agent for the purpose of collecting, holding and releasing funds on behalf of Providers in accordance with these Terms.
Funds will be released:
- upon mutual completion confirmation;
- following auto-release under Schedule 2; or
- following resolution of a Dispute under clause 16.
VLC is not responsible for delays, reversals or interruptions caused by Stripe, financial institutions, card networks or other third-party payment providers.
VLC does not guarantee the availability or performance of payment systems.
Anti-Money Laundering and Counter-Terrorism Financing
VLC and its payment partners comply with applicable anti-money laundering and counter-terrorism financing laws.
Users must not use the VLC Platform or its payment systems for unlawful financial activity, including fraud, money laundering, or terrorism financing.
VLC may delay, refuse, hold, or reverse a transaction where it reasonably suspects unlawful activity and may report such activity to relevant authorities as required by law. Where disclosure is legally restricted, VLC may be unable to provide details of the action taken.
8. PROVIDER INDEPENDENT CONTRACTOR RELATIONSHIP
Providers operate independent businesses and supply services in their own capacity.
Nothing in these Terms creates an employment, agency, partnership, joint venture or representative relationship between VLC and any Provider.
Providers are solely responsible for:
- business expenses;
- taxation and superannuation obligations;
- insurance coverage;
- compliance with workplace, consumer and safety laws; and
- the manner and method in which services are delivered.
Further provisions are set out in Schedule 1.
9. SHARING ECONOMY TAX REPORTING
VLC may collect, use and disclose Provider information, including ABN details and gross payout amounts, in order to comply with the Sharing Economy Reporting Regime and other applicable tax laws.
VLC may report required information to the Australian Taxation Office without further notice where disclosure is mandated by law.
Providers remain solely responsible for their own tax reporting, registration and compliance obligations.
10. SMART ARRIVAL AND LOCATION SERVICES
Smart Arrival is a location-based feature designed to surface relevant services, community updates, and Travel Mates information when a User arrives at a new location.
Smart Arrival is provided for informational convenience only and must not be relied upon for safety, navigation, emergency assistance, or real-time tracking.
Location accuracy may vary due to device capability, GPS limitations, terrain, weather conditions, network connectivity, or third-party services.
Smart Arrival operates only when location services are enabled on the User’s device and the relevant permission has been granted. Smart Arrival does not access background location data unless the User has granted the applicable device-level background location permission.
Users may disable or modify location permissions at any time through their device settings. Disabling location access may limit or prevent certain features of the VLC Platform from functioning.
VLC does not guarantee the accuracy, completeness, timeliness, or availability of location-based information displayed through Smart Arrival.
11. OFFLINE-FIRST BOOKINGS
The VLC Platform may allow certain actions, including Booking requests, confirmations, cancellations and completion confirmations, to be initiated while a User’s device is offline.
Offline actions are stored locally and transmitted to VLC’s servers when connectivity resumes.
Booking formation, confirmation, cancellation and completion take effect only once the relevant action has been successfully synchronised with VLC’s servers.
In the event of conflicting actions or timing discrepancies, VLC’s server timestamp will determine the official time of the action.
Users are responsible for ensuring they have adequate connectivity when making time-sensitive changes.
VLC is not liable for delays, failed transmissions, duplicated actions, or disruptions caused by network outages, device limitations, telecommunications failures, or third-party service interruptions.
12. VERIFICATION, IDENTITY UPLOADS, BADGES AND LICENCE REQUIREMENTS
12.1 Identity Upload Requirements
Certain features of the VLC Platform, including bookings, payouts, and Travel Mates, require Users to upload a government-issued identity document.
Unless expressly stated otherwise, identity documents uploaded to VLC are stored only and are not independently verified by VLC.
Failure to provide required identity information may restrict access to certain features of the Platform.
12.2 Stripe as Verification Authority
Where identity verification is required, it is performed solely through Stripe Connect or Stripe Identity.
Verification outcomes are determined and controlled by Stripe. VLC does not review, override, or alter Stripe’s verification decisions.
Stripe acts as an independent service provider and processes verification information in accordance with its own policies.
12.3 Trust Badges
VLC may display trust indicators such as “ID Provided” or “ID Verified”.
These badges:
- reflect a point-in-time status only;
- are informational in nature; and
- do not constitute endorsement, certification, guarantee, or assurance of identity, safety, qualifications, or legal compliance.
Users should exercise their own judgment when interacting with others on the Platform.
12.4 Provider Identity Requirements
Providers must complete Stripe Connect identity verification before accepting bookings or receiving payouts.
Failure to complete required verification may restrict account functionality, including the ability to accept bookings or access funds.
12.5 Licence Requirements for Regulated Services
Providers offering services that require professional licences, registrations, or regulatory approvals must ensure they hold all legally required authorisations.
Providers are responsible for ensuring their Listings are accurate, lawful, and within the scope of their licence or qualifications.
VLC may request evidence of licences or registrations and may restrict regulated service categories where appropriate.
12.6 Licence Information and Optional Register Checks
VLC may, but is not obliged to, perform automated checks against publicly available registers or request additional documentation to support platform integrity.
Any such checks are limited in scope, may not be current or complete, and do not constitute a guarantee that a User holds a valid licence or qualification at any time.
12.7 Misuse and Fraud
Users must not upload false, altered, misleading, or fraudulent documents.
VLC may suspend, restrict, or terminate accounts where fraud, material inconsistency, or Stripe verification failure is detected.
12.8 Limitations and No Guarantee
To the extent permitted by law, VLC makes no representation regarding the accuracy or ongoing validity of identity or licence information provided by Users or returned by Stripe.
12.9 User Responsibility
Users remain responsible for assessing the suitability, identity, qualifications, and reliability of any other User they interact with through the Platform.
13. CONTENT AND NOTICEBOARD RULES
Users must comply with Schedule 3 and all content standards referenced in these Terms.
13.1 Responsibility for Content
Users are responsible for any content they post or transmit on the VLC Platform, including Listings, profiles, reviews, messages, images, Noticeboard posts, and communications or interactions within Travel Mates or other messaging features.
Content must be accurate, lawful, and must not infringe the rights of others. VLC does not endorse or guarantee User-generated content.
13.2 Reporting and Moderation
Users may report Listings, profiles, messages, reviews, and Noticeboard content directly within the VLC Platform.
Users may also block other Users within the VLC Platform to prevent further communication.
VLC may review, remove, restrict, or disable access to content where it reasonably considers that the content breaches these Terms, referenced policies, or applicable law.
VLC may take enforcement action where appropriate, including warnings, removal of content, temporary suspension, restriction of features, or permanent account termination.
VLC is not required to provide prior notice before removing content that it reasonably considers unlawful, unsafe, or materially harmful. VLC is not obliged to actively monitor all content on the Platform.
13.3 Off-Platform Solicitation
Users must not use the VLC Platform to arrange payments or ongoing services outside the Platform where the purpose is to avoid Platform Fees.
Attempts to bypass the Platform may result in account suspension or termination.
13.4 Licence to User Content
By posting content on the VLC Platform, Users grant VLC a non-exclusive, royalty-free licence to use, display, and reproduce that content for the purpose of operating, improving, and promoting the Platform.
Users retain ownership of their content.
13.5 Repeated Breaches
Serious or repeated breaches of this Clause 13 or Schedule 3 may result in suspension or termination of the User’s account in accordance with Clause 18.
13.6 Copyright and Intellectual Property Complaints
(a) VLC respects intellectual property rights and expects Users to do the same. Users must not upload, post, transmit, or make available any content on the VLC Platform that infringes the copyright, trade mark, or other intellectual property rights of any third party.
(b) If you believe content on the VLC Platform infringes your intellectual property rights, you may submit a written notice to VLC identifying:
(i) the work or right claimed to be infringed;
(ii) the specific content alleged to infringe, with sufficient detail to allow VLC to locate it;
(iii) your full name and contact details; and
(iv) a statement that you have a good faith belief that the use of the content is not authorised by the rights holder or by law.
(c) Notices may be sent to the contact address published on the VLC Platform from time to time.
(d) VLC may remove or disable access to content where it reasonably considers that the content infringes intellectual property rights. Repeated infringement may result in suspension or termination under Clause 18.
(e) Nothing in this clause requires VLC to actively monitor content for intellectual property infringement.
13.7 Reviews and Ratings Integrity
(a) Reviews and ratings must be based on genuine first-hand experience of a Booking or interaction through the VLC Platform.
(b) Users must not submit false, misleading, fabricated, incentivised, or retaliatory reviews, or offer or accept any benefit in exchange for a review.
(c) VLC may moderate, remove, or restrict access to reviews that it reasonably considers breach these Terms, Schedule 3, or applicable law.
(d) VLC does not independently verify or guarantee the accuracy of User reviews. Users should exercise their own judgment when relying on reviews.
14. TRUST, SAFETY AND RISK ALLOCATION
14.1 Provider Responsibilities
Providers are responsible for ensuring they hold any licences, registrations, qualifications, and insurance required by law for the services they offer.
Licensed trades must maintain appropriate public liability insurance and any required licences. VLC may request evidence of such licences or insurance at its discretion.
VLC does not provide or arrange insurance coverage for Users. Providers are solely responsible for maintaining appropriate insurance relevant to their services.
14.2 User Interactions
The VLC Platform facilitates introductions, bookings, payments, and communication between Users, including optional social connection features such as Travel Mates. VLC does not supervise, control, or direct the performance of services or in-person interactions between Users.
Users interact with each other, meet in person, travel together, or otherwise engage offline at their own discretion and risk.
Except where expressly stated on the Platform, VLC does not conduct background checks, professional suitability checks, or service quality assessments. Any verification badges or indicators are limited in scope and do not constitute endorsement, certification, or guarantee of a User or their services.
14.3 Limitation of Liability (Platform Services)
To the maximum extent permitted by law, VLC’s aggregate liability arising from, or in connection with, the supply of the VLC Platform services (including facilitation, payment handling as limited payment agent, messaging, and platform availability) is limited to the greater of:
(a) re-supplying the relevant VLC Platform services; or
(b) refunding the Platform Fee paid in connection with the relevant Booking or transaction giving rise to the claim.
Nothing in these Terms excludes or limits any non-excludable rights or remedies under the Australian Consumer Law.
VLC is not liable for:
- the quality, safety, legality, or outcome of services provided by Providers;
- acts or omissions of Users;
- indirect or consequential loss; or
- delays or failures caused by third-party services, including payment processors, hosting providers, telecommunications networks, or app store platforms.
14.4 Provider Indemnity
Providers indemnify VLC against claims, losses, liabilities, damages, and expenses arising from:
- the services they provide;
- their breach of these Terms; or
- their breach of applicable laws or regulatory requirements.
This indemnity does not apply to the extent the loss is caused by VLC’s own breach of these Terms or applicable law.
14.5 Caravan Park and Venue Compliance
Users are responsible for complying with all applicable rules, policies, and requirements of caravan parks, campgrounds, national parks, private property owners, and other venues where services are performed.
Providers must ensure they are permitted to provide their services at the relevant location and must obtain any required approvals from park management or property owners.
VLC does not control or enforce caravan park or venue rules and is not responsible if a Booking cannot proceed due to park restrictions, refusal of entry, removal from a site, or breach of venue policies by a User.
Any cancellation or dispute arising solely from venue restrictions may be handled in accordance with Schedule 2.
15. AUSTRALIAN CONSUMER LAW
Nothing in these Terms excludes, restricts or modifies any rights or remedies that cannot be excluded under the Australian Consumer Law (ACL).
To the extent that VLC supplies services to a User that are subject to the ACL, those services are limited to the provision and operation of the VLC Platform.
Where permitted by law, VLC’s liability for breach of any non-excludable guarantee relating to its Platform services is limited, at VLC’s option, to:
(a) re-supplying the relevant Platform services; or
(b) paying the cost of having those services re-supplied; or
(c) refunding the Platform Fee paid in connection with the relevant Booking or transaction.
VLC does not supply the underlying services provided by Providers and is not responsible for any failure by a Provider to comply with consumer guarantees applicable to those services.
Providers are solely responsible for complying with their obligations under the ACL in relation to the services they supply.
16. DISPUTE RESOLUTION
16.1 Application
If a dispute arises between Users in relation to a Booking or use of the VLC Platform, this clause 16 applies.
16.2 Tier 1 – Direct Resolution
Users must first attempt to resolve the dispute directly through in-app messaging.
16.3 Tier 2 – Formal Dispute Ticket
(a) If the dispute is not resolved, either User may lodge a formal dispute through the VLC Platform.
(b) A dispute must be lodged within 5 Business Days of the relevant Booking completion, cancellation, no-show, or alleged breach.
16.4 Tier 3 – VLC Review
(a) VLC may review the dispute and request supporting information from the parties.
(b) Following review, VLC may determine matters relating to:
(i) non-attendance;
(ii) cancellations;
(iii) no-shows;
(iv) breaches of platform rules;
(v) refund eligibility under Schedule 2; and
(vi) allocation of funds held in escrow.
(c) VLC’s role is limited to determining the distribution of funds held through the Platform and enforcing compliance with these Terms.
(d) VLC does not assess or determine service quality, workmanship standards, or professional competence.
(e) Funds subject to a dispute will remain on hold until the dispute process is completed.
16.5 External Remedies
Nothing in this clause prevents a User from pursuing external remedies independently of or in addition to the internal dispute process.
External remedies may include proceedings in a court of competent jurisdiction or application to a relevant state or territory consumer tribunal or regulatory authority.
Nothing in these Terms limits any rights available under the Australian Consumer Law or other applicable mandatory law.
16.6 Time Limitation
To the extent permitted by law, any legal proceedings arising from or in connection with a Booking or use of the VLC Platform must be commenced within 12 months of the date on which the cause of action arose, unless a longer limitation period applies under mandatory law.
This clause does not apply where a longer limitation period is required by applicable law or where the Australian Consumer Law or any other mandatory law prohibits the contractual reduction of a limitation period.
17. UPDATES AND AMENDMENTS
17.1 Right to Amend
VLC may amend these Terms from time to time to reflect changes in law, regulatory requirements, platform functionality, risk management, pricing structure, or operational practices.
17.2 Notice of Changes
(a) For Material Changes, VLC will provide at least 30 days’ prior notice through the Platform, by email, or by other reasonable means.
(b) Non-material updates, including clarifications, formatting changes, or administrative corrections, may take effect immediately upon publication.
17.3 Acceptance of Changes
(a) Continued use of the VLC Platform after the effective date of updated Terms constitutes acceptance of the revised Terms.
(b) Where a Material Change materially affects Provider rights or obligations, VLC may require renewed click-wrap acceptance before continued use of certain features.
(c) If a User does not agree to the updated Terms, the User must discontinue use of the VLC Platform and may close their account.
17.4 Immediate Changes
Notwithstanding clause 17.2, VLC may implement changes immediately where reasonably necessary to:
(a) comply with applicable law or regulatory direction;
(b) address safety, fraud, or security risks; or
(c) prevent misuse of the Platform.
18. TERM AND TERMINATION
18.1 Term
These Terms apply from the time a User accepts them and continue while the User maintains an account or uses the VLC Platform.
18.2 User Account Closure
Users may close their account at any time through the Platform or by contacting VLC.
Closing an account does not affect any outstanding Bookings, disputes, payment obligations, or provisions that are intended to survive termination.
18.3 Suspension or Termination by VLC
VLC may suspend, restrict, or terminate an account where it reasonably considers that a User:
- has breached these Terms or Schedule 3;
- has engaged in fraud, unsafe conduct, or unlawful activity;
- has attempted to bypass Platform Fees or payment systems; or
- poses a safety, legal, or reputational risk.
VLC may take immediate action where necessary to protect Users or comply with law.
18.4 Provider Deactivation
Where required by applicable law, VLC will comply with the Digital Labour Platform Deactivation Code and any mandatory deactivation procedures before permanently deactivating a Provider who qualifies as an employee-like worker under the Fair Work Act 2009 (Cth).
Nothing in this clause limits VLC’s right to take immediate action where required to address safety, fraud, illegality, or serious platform breaches.
18.5 Effect of Termination
Upon termination, access to the Platform may be removed and Listings disabled. Pending payments will be handled in accordance with Schedule 2.
VLC may retain or delete information in accordance with its Privacy Policy and legal obligations.
Provisions relating to payments, liability, indemnity, dispute resolution, and intellectual property continue after termination.
19. GOVERNING LAW AND JURISDICTION
19.1 Governing Law
These Terms are governed by the laws of Western Australia and the Commonwealth of Australia.
19.2 Jurisdiction
Subject to clause 19.3, the parties submit to the non-exclusive jurisdiction of the courts of Western Australia and any federal court of competent jurisdiction.
19.3 Consumer Rights
Nothing in this clause limits any rights a User may have under the Australian Consumer Law to bring proceedings in another Australian court of competent jurisdiction.
20. NO GUARANTEE OF AVAILABILITY OR UPTIME
VLC does not guarantee continuous, uninterrupted, secure, or error-free access to the VLC Platform.
Availability may be affected by maintenance, updates, system changes, outages, network disruptions, or failures of third-party services, including hosting providers, payment processors, telecommunications networks, mapping services, or app store platforms.
To the extent permitted by law, VLC is not liable for any delay, interruption, loss of data, or temporary unavailability of the Platform arising from such events.
VLC is not responsible for failure or delay in performance to the extent caused by a Force Majeure event, including events beyond its reasonable control.
21. GENERAL PROVISIONS
21.1 Entire Agreement
These Terms, together with any policies and schedules referenced in them, constitute the entire agreement between the parties in relation to the VLC Platform and supersede all prior agreements, understandings, representations and communications.
21.2 No Waiver
A failure or delay by VLC in exercising any right or remedy under these Terms does not operate as a waiver of that right or remedy.
A waiver is only effective if in writing.
21.3 Severability
If any provision of these Terms is found to be invalid, illegal or unenforceable, that provision will be severed to the minimum extent necessary and the remaining provisions will continue in full force and effect.
21.4 Assignment
Users may not assign, transfer or novate their rights or obligations under these Terms without VLC’s prior written consent.
VLC may assign or transfer its rights and obligations under these Terms as part of a corporate restructure, merger, sale of assets or similar transaction.
21.5 Notices
VLC may provide notices to Users by:
(a) email to the registered account address;
(b) in-app notification; or
(c) publication on the VLC Platform.
Notices to VLC must be sent to the contact details published on the Platform.
Electronic notices are deemed received at the time of transmission, unless proven otherwise.
21.6 Intellectual Property
All intellectual property rights in the VLC Platform, including software, branding, content, design, systems and functionality, are owned by or licensed to VLC.
Nothing in these Terms grants Users ownership rights in the Platform.
Users are granted a limited, non-exclusive, non-transferable licence to access and use the Platform in accordance with these Terms.
21.7 App Store Distribution
If the VLC Platform is accessed through the Apple App Store or Google Play Store:
(a) the User acknowledges that Apple Inc. or Google LLC, as applicable, is not a party to these Terms and has no responsibility for the VLC Platform or its content;
(b) to the extent required by applicable app store terms, Apple Inc. or Google LLC may be considered a third-party beneficiary of these Terms for the limited purpose of enforcing this clause;
(c) in the event of any inconsistency between these Terms and mandatory app store distribution requirements relating solely to app distribution, those mandatory requirements will apply to that limited extent.
Nothing in this clause modifies the allocation of responsibility between Users and VLC under these Terms.
Schedule 1 – Provider Independent‑Contractor Clauses
1. Relationship of the Parties
The Provider operates an independent business and supplies services to Travellers in their own capacity.
Nothing in these Terms creates an employment, agency, partnership, joint venture or representative relationship between VLC and any Provider.
The Provider does not have authority to bind or represent VLC.
2. Autonomy and Control
Subject to compliance with these Terms and applicable law, the Provider retains discretion over:
- whether to offer services through the VLC Platform
- which Bookings to accept or decline
- their service pricing, availability and scheduling
- the manner and method in which services are performed
- whether to use other platforms or operate independently
VLC does not direct how services are delivered and does not supervise day-to-day performance.
3. Business Independence
The Provider:
- operates under their own name or business structure
- supplies their own tools, equipment and materials
- bears their own operating costs and business risks
- may engage in other commercial activities
- has no obligation to accept a minimum number of Bookings
Either party may cease using the Platform in accordance with these Terms.
4. Compliance Obligations
The Provider is solely responsible for:
- holding and maintaining required licences and registrations
- complying with consumer, workplace, safety and regulatory laws
- meeting insurance requirements applicable to their services
- complying with any applicable digital labour platform obligations
Nothing in these Terms transfers regulatory responsibility for the Provider’s services to VLC
5. Tax and Superannuation
The Provider is solely responsible for:
- GST registration and remittance (where applicable)
- income tax obligations
- superannuation contributions (if required by law)
- workers’ compensation insurance (if required)
- payroll tax or similar obligations
VLC does not withhold tax on behalf of Providers except where required by law.
6. No Employee Benefits from VLC
The Provider is not entitled to:
- employee benefits, leave entitlements or superannuation contributions from VLC
- workers’ compensation coverage through VLC
- redundancy, notice or unfair dismissal protections as an employee
Nothing in this clause limits any statutory rights that cannot be excluded under applicable law.
7. Indemnity
The Provider indemnifies VLC against any claim, loss, liability, damage or expense (including legal costs) arising from:
- the Provider’s services or conduct
- breach of these Terms
- breach of applicable laws
- injury, loss or damage caused in connection with the Provider’s services
- employment-related claims brought by any person engaged by the Provider
This indemnity does not apply to the extent the loss is caused by VLC’s own breach of these Terms or negligence.
8. Fair Work Act 2009 Compliance
To the extent applicable, VLC will comply with its obligations as a digital labour platform operator under the Fair Work Act 2009 (Cth).
Nothing in this Schedule alters the allocation of responsibility for the supply of services as set out in these Terms..
Schedule 2 — Payment & Escrow Terms
- Payment Collection and Limited Agency
VLC collects the Total Fees from Travellers through Stripe Connect and holds those funds in a Stripe-hosted account (the “Payment Vault”).
VLC acts solely as a limited payment agent for Providers for the purpose of:
• collecting payments from Travellers
• holding funds through Stripe Connect
• remitting funds to Providers in accordance with these Terms
• processing refunds where required
VLC does not act as agent for any other purpose and assumes no responsibility for the performance, quality, safety, legality or outcome of services supplied by Users.
Payment by a Traveller to VLC satisfies the Traveller’s payment obligation to the Provider for the relevant Booking.
- Completion Confirmation and Timed Release
Both the Provider and Traveller must confirm completion through the VLC Platform.
If only one party confirms completion, VLC will send reminders to the other party for up to 72 hours.
If no dispute is lodged within 72 hours of the first completion confirmation being successfully recorded on VLC’s servers, the funds will be automatically released to the Provider.
VLC server timestamps determine the official time of confirmation.
- Offline Sync and Effective Time
Where actions are initiated offline, they are deemed received only once successfully synchronised with VLC’s servers.
Any confirmation, cancellation or dispute timeframe runs from the time of successful server sync, not from the time of local device action.
Users are responsible for ensuring adequate connectivity when taking time-sensitive actions.
- Cancellations, No-Shows and Refunds
All Bookings are secured by payment into the Payment Vault. Funds remain held until the Booking outcome is determined under this Schedule.
4.1 Traveller-Initiated Cancellation
A Traveller may cancel a confirmed Booking before the scheduled start time.
(a) More than 2 hours before the scheduled start time
The Traveller receives a full refund of the Total Fees, less any non-refundable Stripe processing fee where applicable.
(b) Within 2 hours of the scheduled start time
The Provider is entitled to full payment and the Platform Fee remains payable.
The Traveller may request a discretionary refund through the Platform, which the Provider may approve or decline.
4.2 Provider-Initiated Cancellation
If a Provider cancels a confirmed Booking before the scheduled start time:
• the Traveller receives a full refund of the Total Fees;
• the Provider bears the Platform Fee and applicable Stripe processing fee.
Repeated cancellations may result in account restrictions, suspension or termination.
4.3 Mutual Cancellation
If both parties agree via the Platform to cancel a Booking, a refund will be issued less the Platform Fee and any non-refundable Stripe processing fee, unless VLC determines otherwise.
4.4 No-Show
A party is deemed a No-Show where:
• they fail to attend or be available at the agreed time and location;
• the other party is present or available as reasonably evidenced; and
• the absent party fails to respond within a 15-minute grace period.
If the Traveller is the No-Show, the Provider is entitled to full payment.
If the Provider is the No-Show, the Traveller receives a full refund.
The party deemed responsible bears the Stripe processing fee.
4.5 System Auto-Cancellation
If neither party confirms completion or lodges a dispute within 24 hours after the scheduled end time, the Booking may be automatically cancelled and the Total Fees refunded.
If auto-cancellation occurs due to a verified technical failure attributable to VLC, VLC will absorb any Stripe processing fee.
In all other cases, the Stripe processing fee is borne by the Traveller.
- Disputes and Funds on Hold
Where a dispute is lodged under clause 16, funds will remain in the Payment Vault until the dispute is resolved.
VLC’s role is limited to determining the allocation of funds in accordance with these Terms.
Following resolution, Stripe processing fees will be allocated to the party determined to be responsible.
- Chargebacks and Fraud
VLC may delay payout, place reserves, or reverse transactions where:
• card chargebacks arise;
• fraud indicators are detected;
• Stripe imposes a reserve requirement.
Users will be notified where reasonably practicable.
- Stripe and Banking Delays
Payouts and refunds may take 2 to 5 Business Days or longer depending on Stripe and banking systems.
VLC is not responsible for delays, reversals or interruptions caused by third-party payment providers or financial institutions.
- Escrow Limitation
VLC’s obligations are limited to correctly instructing Stripe Connect in accordance with these Terms.
VLC does not guarantee fund availability, uninterrupted payment processing, or banking system performance.
- Stripe Processing Fees
Stripe processing fees are incurred at the time a Traveller payment is captured and are generally non-refundable.
Unless expressly stated otherwise:
• the party responsible for a cancellation, No-Show or adverse dispute outcome bears the Stripe processing fee;
• where a Booking completes successfully, the Stripe processing fee is deducted from the Provider payout;
• where a refund occurs due to a technical failure attributable to VLC, VLC will absorb the Stripe processing fee.
Stripe fees may be deducted from the next eligible transaction where required.
Schedule 3 – Prohibited Content List
Users must not create, upload, publish, transmit or otherwise make available any content or engage in conduct that:
- Illegal or Unlawful Content
• violates any applicable Australian law or regulation
• promotes or facilitates illegal activity
• involves the sale or promotion of illegal goods or services - Harmful, Abusive or Discriminatory Conduct
• contains racist, discriminatory, hateful or violent content
• harasses, bullies, intimidates or threatens another User
• incites violence or unlawful behaviour - Fraud, Misrepresentation and Deception
• contains false, misleading or deceptive statements
• misrepresents identity, qualifications or services
• involves fraudulent listings or payment requests
• attempts to bypass Platform Fees or divert transactions off-platform - Intellectual Property Violations
• infringes copyright, trade marks or other intellectual property rights
• reproduces or distributes content without authorisation - Privacy Violations
• discloses personal information of another person without consent
• shares identity documents, contact details or private communications without permission - Malware and Technical Abuse
• contains viruses, malicious code, phishing links or spam
• interferes with or attempts to disrupt the operation, integrity or security of the VLC Platform - Unsafe or Regulated Services
• promotes unsafe practices
• offers regulated services without required licences or approvals
• advertises services that violate health, safety or consumer laws
Moderation and Enforcement
VLC may review, remove, restrict or disable access to content that breaches these Terms or applicable law. VLC may suspend or terminate accounts for repeated or serious breaches and may report unlawful conduct to relevant authorities.
VLC is not required to provide prior notice before removing content that it reasonably considers unlawful, unsafe or materially harmful.
